Last Week Tonight Auction Terms and Conditions

 

PLEASE READ THESE TERMS AND CONDITIONS OF (“Terms” or “Agreement”) CAREFULLY BEFORE PARTICIPATING IN THIS AUCTION, AS THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING, BUT NOT LIMITED TO, WAIVERS OF RIGHTS, LIMITATION OF LIABILITY, AND YOUR INDEMNITY TO US. THIS AGREEMENT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN COURTS OR JURY TRIALS, AND LIMITS THE REMEDIES AVAILABLE IN THE EVENT OF A DISPUTE. THE ARBITRATION PROVISION IS INCORPORATED BY REFERENCE AND ACCESSIBLE HERE (“THE DISPUTE RESOLUTION PROVISION”).

 

1.     Introduction.

(A) Governing Terms. These Terms describe terms and conditions that govern your participation in the auction of goods, services, and experiences provided by Partially Important Productions, LLC (“we,” “us,” and “our”) (“Auction”). Please take the time to read the full Terms. When you view, register, bid, win, or otherwise participate in the Auction you accept and agree to be bound by these Terms and the terms of the Third Party Service auction service GiveSmart US, Inc., including their privacy policy. We may enforce any term of the GiveSmart US, Inc. terms. If you do not agree to any of the foregoing, you should not participate in the Auction. We may require all winners of the Auction to accept a separate waiver and release in order to receive their item.

 

(B) Changes to Terms. We may modify the Terms at any time, and such modifications, additions or deletions will be effective immediately upon posting. Your use of the Auction after such posting shall be deemed to constitute acceptance by you of such modifications, additions or deletions.

 

(D) Verification. Whenever you provide us information, you agree to: (a) provide true, accurate, current and complete information and (b) maintain and promptly update such information to keep it true, accurate, current and complete. If you provide any information that is, or we have reasonable grounds to suspect that the information is untrue, inaccurate, not current or incomplete, we may take corrective action.

 

2.     Auction.

(A) Notification. If you provide us with your email address or phone number when using any part of the Service, then we may send notifications to you via email, phone call, or SMS or RCS (text message), including communicating with you about your bids via the Service. Data or messaging rates may apply to these notifications.

(B) Eligibility. You must be 21 years of age or older to register for and participate in the Auction. The Auction is intended for, and should only be used, by individuals residing within the fifty United States and the District of Columbia. No Auction item will be awarded or shipped to any person outside such area, and no wine or other alcohol will be awarded to or shipped to individuals residing within Alaska, Arkansas, Delaware, Hawaii, Mississippi, Rhode Island, or Utah. By registering or submitting a bid, you represent and warrant that you meet all the eligibility requirements in this Section, and if you win an item and upon our request, you agree to execute an affidavit of eligibility.

(C) Background Checks. You agree to provide us all the information we deem necessary to verify your identity or conduct background checks (e.g., when you meet people for experiences or order wine or other alcohol). Background checks could include, but are not limited to, criminal and civil court searches by name and date of birth within the last 7 years and open-source intelligence and global sanctions checks. You agree to provide us all reasonable documentation needed for these checks, including a copy of your driver’s license. We reserve the right to, at any time, revoke your bid, rescind your win of an item, or otherwise prevent your participation in the Auction, if we believe, in our sole discretion, that you may (i) pose a safety risk, (ii) not have the financial ability to purchase the item, (iii) use the item in bad faith or for illegal purposes, or (iv) harm others, the Show, or us in any way.  

(D) Sales are Final. By placing a bid, you agree to purchase the item you bid on if you are the highest eligible bidder. All sales are final and binding, unless we determine you are ineligible and then we will refund any payment you made before such determination.

(E) Experiences. Unless noted otherwise in the description of the item, items that include travel and accommodations will be coach airfare and a stay at a standard class hotel. If the items include you appearing in any production or other materials, you agree to sign our release and waiver for us to use your name, voice, image, and likeness. Experiences are nontransferable and only for personal use. We may refuse to award, or revoke the award of, any experience if you violate, or we suspect you will violate, this personal use limitation.

(F) Limited Use. You shall not use the names, logos, initials, copyrights, trademarks, or other identifying marks of Partially Important Productions, LLC  or “Last Week Tonight With John Oliver” (the “Show”), the name, sobriquets, pictures, photographs, images, silhouettes, appearance, likeness, voice, signature, initials, or biography of John Oliver, or any footage or element of the Show in any manner, including in connection with any commercial use of your winning item(s), without our prior specific written permission in each instance.

(G) Pricing; Taxes. Prices stated for products and services exclude all applicable taxes unless stated otherwise. Transaction totals with a tax line item may reflect an estimated tax amount. The actual tax amount is calculated based on your shipping location for a single purchase or your location at the time you registered for a recurring service and many vary from the estimated tax. You are solely responsible for paying all taxes. 

(H) Payments. If you win an item in the Auction, you agree to pay GiveSmart US, Inc.  You must complete payment by November 25, 2025. Failure to pay by November 25, 2025 may result in the automatic forfeiture of the auction item. All credit cards, except for American Express cards, are subject to an approximately 3.63% credit card processing and platform fee. American Express cards are subject to an approximately 4.12% credit card processing and platform fee.

(I) Shipping. If you win an item, you will be contacted by our team regarding the fulfillment process. Products you order will be shipped by our third-party carrier to an address you designate, as long as that shipping address is compliant with the shipping restrictions contained in the Auction, and shipping charges may apply. Risk of loss and title for items purchased from the Auction pass to you upon delivery of the items to the carrier. Signature may be required for deliveries. We do not guarantee any particular delivery date and are not responsible for any delays.

(J) Tax Implications. Your payment for Auction items may, in part, be deductible to the extent it surpasses fair market value of the item. We are not providing tax advice, and you should seek tax advice from an experienced attorney that you retain.

 

3.     Reservation of Rights.

We and our licensor(s) reserve all rights not expressly granted, whether by implication, estoppel, or otherwise.

 

4.     Third Party Content.

We may link to, integrate with, or incorporate third party content, sites, services, or platforms (collectively, “Third Party Services”). We do not endorse and are not responsible for Third Party Services, whether in terms of their correctness, accuracy, validity, propriety, reliability, legality, security, or otherwise, and we disclaim all liability in connection therewith. References to Third Party Services do not imply endorsement of any Third Party Services by us or any association with its operators. Your dealings with Third Party Services are solely between you and the applicable Third Party Services. 5.     Unsolicited Submissions and Feedback.

Please be aware that we do not accept unsolicited submissions of concepts, creative ideas, suggestions, stories, scripts, or other potential creative content (“Unsolicited Submissions”). This is to avoid the possibility of future misunderstanding when projects developed by our staff or representatives might seem to others to be similar to their submitted concepts, creative ideas, suggestions, stories, scripts, or other potential creative content. Therefore, please do not send us any Unsolicited Submissions. In the event you do send us an Unsolicited Submission, you understand and agree that your Unsolicited Submission does not create any fiduciary relationship between you and us, and that we are under no obligation to refrain from using the Unsolicited Submission (in whole or in part), to keep it confidential, or to compensate you for our use of it.

 

6.     Disclaimer of Warranty.

THE ITEMS WERE PRODUCED OR PURCHASED TO USE AS PROPS FOR THE PURPOSE OF A TV SHOW, AND WE HAVE NOT INSPECTED THE ITEMS FOR DAMAGE OR DEFECT, INCLUDING PATENT OR LATENT DEFECTS. IT IS YOUR RESPONSIBILITY TO PROVIDE THE APPLICABLE INSPECTION UPON YOUR RECEIPT OF THE ITEM TO ENSURE THE ITEMS ARED SAFE AND OTHERWISE SUITE FOR YOUR PURPOSES. YOU EXPRESSLY AGREE THAT PARTICIPATION IN THE AUCTION AND USE OF THE ITEMS IS AT YOUR SOLE RISK. NEITHER WE NOR ANY PRESENT OR FUTURE PARENT(S), SUBSIDIARIES, OR RELATED ENTITIES, INCLUDING HBO, AVALON, PEYANCE ENTERTAINMENT, LLC (COLLECTIVELY, “RELATED ENTITIES”), NOR ANY OF OUR OR THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE AUCTION WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM PARTICIPATION IN THE AUCTION, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH THE AUCTION.

 

ALL ITEMS AVAILABLE THROUGH THE AUCTION ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OF MATERIALS OR WORKMANSHIP, ABSENCE OF DEFECTS, SECURITY, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY. NEITHER WE NOR ANY OF OUR AFFILIATES WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, MATERIALS, OR SERVICES PROVIDED ON OR THROUGH THE AUCTION. THE FOREGOING EXCLUSIONS OF IMPLIED WARRANTIES DO NOT APPLY TO WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THESE TERMS. 

 

7.     Limitation of Liability and Time Limitation for Claims.

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT SHALL WE OR THE RELATED ENTITIES BE LIABLE TO YOU FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER AND/OR DEVICE OR TECHNOLOGY FAILURE OR MALFUNCTION OR FOR ANY FORM OF DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES BASED ON ANY CAUSES OF ACTION ARISING OUT OF YOUR PARTICIPATION IN THE AUCTION OR BID, PURCHASE, OR USE OF ANY AUCTION ITEMS. YOU AGREE THAT THIS LIMITATION OF LIABILITY APPLIES WHETHER SUCH ALLEGATIONS ARE FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR FALL UNDER ANY OTHER CAUSE OF ACTION, REGARDLESS OF THE BASIS UPON WHICH LIABILITY IS CLAIMED AND EVEN IF WE OR THE RELATED ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. 

 

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING IN ANY WAY TO THE WEBSITE OR YOUR USE OF THE WEBSITE, THESE TERMS, OR THE RELATIONSHIP BETWEEN US, MUST BE COMMENCED WITHIN ONE YEAR OF THE RELEVANT EVENTS. A DISPUTE IS COMMENCED IF IT IS FILED IN AN ARBITRATION OR, IF THE DISPUTE IS NON-ARBITRABLE, A COURT WITH JURISDICTION, DURING THE ONE-YEAR PERIOD. IF YOU OR WE PROVIDE NOTICE OF A DISPUTE UNDER THE DISPUTE RESOLUTION PROVISION, THE ONE-YEAR PERIOD IS TOLLED FOR 60 DAYS FOLLOWING RECEIPT OF THE NOTICE OF DISPUTE. YOU AND WE EACH WAIVE—THAT IS, GIVE UP—THE RIGHT TO PURSUE ANY DISPUTE, CLAIM OR CONTROVERSY THAT IS NOT FILED WITHIN ONE YEAR AND ANY RIGHT YOU OR WE MAY HAVE HAD TO PURSUE THAT DISPUTE, CLAIM OR CONTROVERSY IN ANY FORUM IS PERMANENTLY BARRED.

 

YOU IRREVOCABLY WAIVE THE RIGHT TO RESTRAIN, ENJOIN, OR OTHERWISE INTERFERE WITH THE DEVELOPMENT, PRODUCTION, DISTRIBUTION, EXPLOITATION, EXHIBITION, ADVERTISING, MARKETING, PUBLICIZING, OR PROMOTION OF THE LAST WEEK TONIGHT SHOW OR ANY OF OUR PRODUCTIONS (OR ANY PORTION THEREOF OR ANY RIGHTS THEREIN).

 

8.     Indemnity. 

You will defend, indemnify, and hold us, all Related Entities, and our respective employees, agents, third party content providers, and licensors harmless from any and all liabilities, costs, and expenses, including reasonable attorneys’ fees, related to or in connection with (a) the use of the items purchased by you through the Auction; (b) your violation of any third party right, including without limitation any right of privacy, publicity rights, or intellectual property rights; and (d) your violation of any law, rule, or regulation of the United States or any other country.

 

9.     Governing Law.

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of New York, as they are applied to agreements entered into and to be performed entirely within New York and without regard to conflict of law principles, except to the extent that New York law is inconsistent with or preempted by federal law. To the extent that a dispute is not subject to arbitration under the Dispute Resolution section of this Agreement, that action shall be brought in the appropriate state or federal court located in New York County, New York; and we both irrevocably consent to the exclusive jurisdiction and venue of the state or federal courts in New York County, New York for the adjudication of all non-arbitral claims.

 

10. Severability.

Except as specified in the Dispute Resolution Provision, if any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable for this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between the parties relating to the matters contained herein.

 

11.  Binding. 

To the extent permitted by law, this Agreement is binding on your heirs, executors, administrators, and successors
